Part I: General Terms and Conditions

 

§ 1 – General Provisions

These Terms and Conditions govern all contracts concluded with Worldtech-Logistics, represented by Massimo Lombardo, Chaussée Brunehault 43, 7134 Binche, Belgium, via this website or any other channel of communication. Deviating or conflicting terms and conditions of the customer shall only be valid with our express written consent.

These terms apply exclusively to entrepreneurs, legal entities under public law, and special funds under public law. Contracts with consumers are not concluded.

§ 2 – Conclusion of Contract

All offers on our website are non-binding. Customers may place orders by telephone, email, or in writing. Acceptance of an order placed by telephone occurs immediately or within 5 days by confirmation in text form at the latest. Individual offers are valid for five days unless otherwise stated.

§ 3 – Prices and Payment

All prices are net prices and do not include applicable VAT. Shipping costs are calculated separately and shown prior to the conclusion of the contract. For international deliveries, additional costs such as customs duties or import taxes may apply and are borne by the customer.

Payment is due immediately upon invoicing unless otherwise agreed in writing. In the case of payment by bank transfer in advance, goods will only be dispatched after receipt of the full purchase price.

§ 4 – Delivery Conditions

Delivery dates are only binding if confirmed in writing. Partial deliveries are permitted provided they are reasonable for the customer. If agreed delivery deadlines are not met for reasons beyond our control, we will inform the customer without delay and agree on a new delivery date.

The risk of accidental loss or deterioration of the goods passes to the customer upon handover to the carrier. Applicable Incoterms will be specified in the individual offer or order confirmation.

§ 5 – Warranty

The warranty period is one year from delivery of the goods. In the event of defects, we will, at our own discretion, provide rectification or replacement delivery. If rectification or replacement delivery fails, the customer may reduce the purchase price or withdraw from the contract.

Warranty claims require that the customer inspects the goods immediately upon delivery and notifies us of any defects without delay.

§ 6 – Retention of Title

The goods remain our property until full payment of the purchase price has been received. The customer is entitled to resell the goods in the ordinary course of business. In this case, the customer hereby assigns to us all claims arising from the resale to third parties up to the amount of our invoice amount.

§ 7 – Governing Law and Jurisdiction

These Terms and Conditions and all contracts concluded on their basis are governed by Belgian law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms and Conditions is Binche, Belgium, provided the customer is a merchant, a legal entity under public law, or a special fund under public law.

The contract text is not stored permanently by us after conclusion of the contract. Customers are advised to save or print the order confirmation and these Terms and Conditions before submitting their order.
